Replace the second paragraph of section 4.6 with:

If a Board of Directors seat becomes vacant, the remaining members of the Board of Directors may appoint a replacement to take office immediately and serve until the end of the current year. If the vacant term extends beyond the current year, a member will be elected to serve from January 1 of the following year until the end of the term, following the procedures set forth in Article 10. If the annual election has already occurred, the next runner-up, as determined by the Election Committee, will be elected to fill the vacancy. If no runner-up can be determined, the seat will become vacant at the end of the current year and these procedures will be followed again in the next year.

If a Board of Directors seat becomes vacant more than two months before the next election, the remaining members of the Board of Directors will appoint a replacement to take office immediately and serve until the next election, at which point if there is any additional time remaining in the term a member will be elected to fill the vacancy. If a vacancy occurs less than two months before an election, the seat will remain vacant until the election.

  • Q: What is changing?

    A: Here’s a summary:
    • The Board may at its discretion fill a vacancy at any time. There is no longer a separate rule for the period before an election.
    • Appointed Board members will serve until the end of the year rather than being forced out immediately after the election.
    • Added procedures to resolve ambiguity concerning vacancies after an annual election.

  • Q: What problem does this solve?

    A: Since the Bylaws amendment to align board terms with calendar years, there has been a gap between an election and the end of the year where a Board seat could remain vacant longer than the original Bylaws intended, and where an appointed replacement could have been forced off the Board during that gap. This amendment gives the Board additional flexibility to fill vacancies and allow the Board to operate at full strength during these gaps.

    A: Fixing this edge case exposed a few others, especially when a vacancy occurs after an annual election. The additional language specifies procedures for dealing with these situations.
